Rollover Structure: your continuing stake
You don't have to choose between cashing out and staying in. Rollover equity is how you do both.
What rollover actually means
When HARP acquires your pharmacy, it isn't a full buyout where you walk away with a check and no further stake. It's a majority recapitalization: you sell most of your ownership and take real money off the table at closing, but you keep a piece of the business going forward, typically somewhere between 10% and 40% of the value of the deal, depending on what you and HARP agree fits your situation. That kept piece is your rollover equity, and it's ownership in the larger, continuing company, not just your one store.
You take chips off the table now, and you keep a real stake in what your pharmacy, and the platform around it, becomes next.
Why this, instead of a clean sale
A full sale gives you certainty and closes the book. Rollover gives you something different: a reason to stay invested in the outcome, and a share in the upside if the wellness layer we build together works the way we expect it to. Most owners we talk to don't want to simply exit a business they spent decades building. They want relief from the parts that have become unsustainable (reimbursement pressure, succession uncertainty, the operational load of running everything alone) while keeping some connection to what happens next. Rollover is built for exactly that.
It's also, plainly, how we ask you to trust us. If HARP is asking you to keep skin in the game, we have every reason to make the wellness layer actually work at your store; your outcome and ours are the same outcome, not opposing ones.
- How it's structured
- Your rollover equity sits alongside HARP's own investors on the same terms, the same class of ownership, not a subordinate position that gets paid last. We believe simple, same-class terms are the right way to treat an owner who's putting their name and their community relationships into this partnership.
- When it pays off
- Rollover equity is realized later, when the broader company (the pharmacies, the wellness platform, and everything built across them) reaches a larger transaction of its own, whether that's a sale, a recapitalization, or another liquidity event down the road. It isn't an annual dividend; it's a stake that grows in value as the platform grows.
- What it isn't
- It isn't a way to keep you financially exposed to a declining business. Your core dispensing revenue is preserved and improved under the playbook (see the Operating Playbook page), and the wellness layer is new revenue added on top; the equity you hold reflects the combined, growing business, not a bet against the pressures you're already facing today.
- What we ask of you in return
- That you stay on to operate your pharmacy, keep the relationships with patients and prescribers that made it valuable, and work with us honestly through the phases of the playbook. That's the whole ask; there's no separate performance target attached to your rollover stake beyond the business doing well.
